NAVA Pouch Ambassador Agreement

DISCOVER NAVA LLC | AMBASSADOR PROGRAM
1 Joining the program
This Agreement is between Discover NAVA LLC (NAVA) and [Ambassador legal name] (you). It begins when you
affirmatively accept it and NAVA approves your enrollment, and continues until either party ends it. You must be a United
States resident, at least 21, authorized to use your approved accounts, and provide accurate contact, payment, and tax
information. NAVA will provide a downloadable copy of the accepted terms.
You choose whether to accept activities and control your time and creative methods, subject to agreed deliverables and
these rules. No minimum sales, assignments, or earnings are promised. You may work with other brands. You cannot bind
NAVA or act as its employee or authorized spokesperson. Each party bears its own legally imposed tax and reporting
obligations; you bear expenses unless approved in writing. Applicable worker protections are not waived.
2 Commissions and administration
NAVA pays 10% of qualifying sales referred by and attributed to you under the Program Summary below. That summary
defines eligible products, calculation, tracking, earning, and payment rules. No referral activity begins until both parties
accept those terms. Cancelled, fraudulent, charged-back, fully refunded, and self-referred purchases do not qualify. Partial
refunds reduce commissions proportionately. Operating expenses are not deducted. Other rewards or paid deliverables
require written agreement.
NAVA provides itemized statements and reasonably sufficient supporting records on request, with unrelated private
information redacted. Report missing sales or errors to NAVA or BrandChamp. NAVA may hold reasonably disputed
amounts while investigating, explain the issue, allow 30 days for your response, and ordinarily resolve it within 30 days
after receiving your information. Unrelated earned amounts remain payable. Corrections or recovery of payments require
documented fraud, duplication, calculation error, or an actual sale reversal, with notice and subject to law.
BrandChamp may administer activities, approvals, tracking, and payments for NAVA. NAVA remains responsible for
payment and final program decisions, including arranging an alternative if a provider outage prevents payment. Platform
terms do not override this Agreement. Material compensation changes require at least 15 days’ advance written notice and
affirmative acceptance and cannot reduce previously earned commissions.
3 Honest and approved promotion
Follow the Posting Guide below. Endorsements must reflect your actual experience and clearly disclose commissions, free
products, and other relevant benefits. Use only NAVA-approved factual claims and compatibility statements. Do not make
unauthorized health, medical, safety, toxicity, or exposure-reduction claims, target minors, or feature anyone under 21.
NAVA retains final editorial and brand-control authority over all Program Content and any use of NAVA’s name,
trademarks, products, or program affiliation. Before publication, you must submit the complete proposed content, including
captions, audio, images, hashtags, disclosures, links, and intended channels, and obtain NAVA’s express written approval
unless NAVA expressly exempts a specified activity in writing. Silence or delay is not approval. NAVA may, in its sole
discretion, approve, reject, withhold approval of, condition approval of, or request modification to content that NAVA
considers inappropriate, objectionable, inconsistent with its brand, legally or commercially risky, misleading, or otherwise
unsuitable, whether or not the content violates another provision of this Agreement. NAVA may revoke an earlier approval
at any time and instruct you to edit, disable, archive, unpublish, or remove any Program Content or reference to NAVA,
including previously approved content. You must comply within 24 hours after notice, or immediately where NAVA
identifies an urgent legal, safety, reputational, or regulatory concern. You must not repost rejected or removed content
without fresh written approval. You will provide live links or copies on request and reasonably cooperate in verifying
compliance. NAVA will ordinarily respond to submissions within five business days; a delay reasonably extends any
affected posting deadline. These editorial rights do not require you to make false statements, change genuinely held
opinions, or refrain from truthful reviews, safety reports, reports to authorities, or other legally protected communications.
NAVA may discontinue the program relationship instead of approving any content.
4 Content ownership and permissions
You retain ownership of photos, videos, captions, and other materials created for an accepted program activity or
expressly submitted for NAVA promotional use (Program Content). Unrelated personal content is excluded. In exchange

for the agreed program compensation, you grant NAVA a nonexclusive, worldwide license for 12 months after first delivery
to use Program Content on NAVA-controlled websites, organic social accounts, customer emails, and internal
presentations. Content supplied solely for an agreed flat fee may be used promotionally only after that fee is paid.
NAVA may crop, resize, subtitle, format, add accurate disclosures, and combine content with brand materials without
distorting your experience. You permit use of your name, approved handle, likeness, and actual recorded voice within
licensed content for those purposes. Material changes in meaning require your written approval. Paid ads or boosting,
packaging, retailer advertising, and advertising through your account require a separate written agreement specifying
scope, duration, and compensation. No synthetic replicas, fabricated endorsements, or AI model training are authorized.
NAVA may share content with service providers solely to carry out permitted uses and transfer this license with the NAVA
business if the successor accepts its restrictions. At expiration, new use stops and active promotional placements are
removed within 30 days. Dated historical organic posts and legal records may remain, unless misleading or removal is
legally required. Notify NAVA if your experience or opinion changes so misleading endorsements can be revised or
discontinued.
You must secure sufficient rights for submitted content, including music and featured people, identify restrictions, and
provide evidence of permissions on reasonable request. Platform music permissions may not cover NAVA reuse. Do not
fabricate use or testimonials with AI; disclose other materially AI-generated elements for approval. If an entity joins, each
featured creator must separately consent to these likeness permissions.
5 Brand protection and confidentiality
Use approved NAVA assets only for authorized program activity. No fake engagement, fabricated reviews or referrals,
tracking manipulation, unauthorized coupon-site distribution, trademark registrations, or misleading brand use. Paid
advertising, giveaways, sub-ambassadors, and promotional texts or emails require prior written authorization and any
required compliance process. Do not associate program content with unlawful conduct, hate, harassment, exploitation, or
unsafe product use.
Protect nonpublic business information, credentials, and customer data; use them only for authorized program work.
Report suspected unauthorized access and return or delete confidential information on request or termination, except
necessary legal records. Public, independently developed, or lawfully received unrestricted information is excluded. Lawful
reports to authorities, communications with counsel, testimony, and other protected disclosures remain permitted without
prior notice to NAVA.
6 Responsibility and ending participation
You indemnify NAVA and its personnel and authorized administrators against third-party claims and reasonable costs to
the extent caused by your material breach, unlawful conduct, fraud, or infringement in supplied materials. This excludes
NAVA’s or its administrator’s negligence, misconduct, unauthorized edits, supplied claims, product defects, and worker-
classification obligations. NAVA must promptly notify you, reasonably cooperate, and permit defense by reasonably
acceptable qualified counsel. Late notice matters only if materially prejudicial. Settlement requires consent before imposing
an admission, nonmonetary duty, or unreleased liability.
To the extent lawful, neither party owes the other indirect, consequential, special, or punitive damages. NAVA’s total
liability is capped at the greater of $1,000 or compensation paid or payable to you in the preceding 12 months. These limits
exclude payment duties, fraud, willful misconduct, gross negligence, unauthorized content or likeness use, bodily injury or
death, covered third-party indemnity claims, and liability that cannot lawfully be limited. No product-injury claim is released.
Either party may terminate by email at any time. NAVA may immediately suspend participation, disable referral links, or
withdraw posting authorization for content concerns, suspected noncompliance, fraud, or safety concerns, subject to
payment of validly earned commissions. On termination, stop claiming current ambassador status and new brand use;
follow valid correction and confidentiality instructions. Valid commissions on purchases completed by termination remain
payable. Later purchases qualify only if the Program Summary expressly permits them. Accepted paid work and approved
noncancelable expenses remain payable under the applicable assignment terms. Payment, existing licenses for their
stated duration, confidentiality, liability, indemnity, and dispute terms survive as applicable.
7 General terms and acceptance
Washington law governs, subject to nonwaivable applicable law. Disputes belong in competent state courts in King County,
Washington, or the federal court in Seattle, unless nonwaivable law requires otherwise. This Agreement, its completed
Program Summary, Posting Guide, and later mutually accepted written campaign terms are the entire agreement. Material

amendments require affirmative acceptance; operational updates may be issued on reasonable notice without expanding
rights or changing material terms. No assignment without consent, except a NAVA business transfer whose successor
assumes its obligations. An unenforceable provision is severed as necessary; nonenforcement is not waiver. Electronic
signatures are valid. Notices go to the emails below; material legal, payment, amendment, and termination notices must be
emailed.

Posting Guide
Disclose the actual connection prominently with each endorsement, such as “NAVA gave me this product, and I earn a
commission when you buy through my link.” Put disclosures with the endorsement, before caption truncation, visibly on
endorsing images or Stories, and both spoken and visible near the start of videos. Repeat during livestreams as needed. A
profile disclosure, brand tag, or “ambassador” alone is insufficient. Use platform partnership tools where available in
addition to necessary clear disclosures.
Use actual experiences and approved claims only. Do not claim “safe to inhale,” “non-toxic,” “healthier,” disease treatment,
cessation, or reduced harmful exposure without express written authorization supported by approved substantiation. No
implied regulatory approval or universal legality. Cannabis imagery, terminology, demonstrations, or competitor
comparisons require specific approval after applicable legal and platform review. No minors or unsafe or illegal use. Follow
platform rules, complete required training, retain approvals, submit published links, and promptly report errors, safety
concerns, complaints, or regulatory inquiries. NAVA’s content approval, revision, and takedown rights under Section 3
apply to all Program Content and brand-related promotional posts.
